Promotional Codes” means promotional codes that can be redeemed for credit to the Account, or other features or benefits related to the Services and / or Third Party Services, subject to the additional terms that Food2Go sets out for each promotional code;

Rates” means the price that is applicable to Third Party Services, expressly communicated to the User in the Application and / or on the Website when confirming the respective order;

services” means access or use by the User, from any country in the world (excluding the United States of America, their embedded and non-embedded territories, as well as mainland China), Application, website content, of products and services made available by Food2Go;

Terms and conditions” means these terms of use;

Third Party Service Providers” means third party service providers, namely third party service providers in the field of transport, logistics and food, that make their services available through the Application and / or the Website;

Food2Go” is a brand owned by HonestDetails, Lda., a private limited liability company incorporated in Portugal, based in Avenida Duarte Pacheco, N.º 26, 1º A, 8135-104, Almancil, Portugal, registered at the Conservatório de Faro under taxpayer no. 515948764;

Third Party Services” means services provided by Third Party Service Providers to the User through the use of the Services;

User Content” means content or information in text format, audio and / or visual, including comments and reactions related to the Services or Third Party Services, support requests and submission of applications for contests or promotions;

Additional Charges” means charges that may be due in addition to the Tariffs applicable to Third Party Services, namely in case of non-compliance with the User's obligations towards Third Party Service Providers, as described here. Additional Charges are added to the User Rate, as applicable;

Username” means any natural person and / or Family Profile who accesses and / or uses the Services, including Consumers;

Website” it means website.food2go.pt or any other website operated by Food2Go as part of the Services.

1. Contractual Relationship

These Terms and Conditions govern the Services provided by Food2Go to the User.

YOU MUST READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

The access and use of the Services by the User are subject to these Terms and Conditions, that the User should read and accept before accessing and using them. The user's acceptance of these Terms and Conditions generates a contractual relationship between the User and Food2Go. If the User does not accept these Terms and Conditions, you may not access or use the Services. These Terms and Conditions expressly revoke any previous contracts or agreements with the User.

Additional provisions may apply to certain Services, such as rules for a given event, activity or promotion, and such additional provisions will be communicated to the User through the Application and / or the Website, in connection with the applicable Services. The additional provisions complement and will be considered part of the Terms and Conditions for the purposes of the applicable Services, after they have been read and accepted by the User. Additional provisions will prevail over these Terms and Conditions in the event of a conflict regarding the applicable Services.

Food2Go may change these Terms and Conditions from time to time. The changes will be communicated to the User. When accessing or using the Services, the User will accept to be bound by these Terms and Conditions, including any changes in effect at the time the User uses the Services. You acknowledge that you are and will always be free to use or not use the Services.

Food2Go collects and uses personal information in connection with the Services in accordance with Food2Go's Privacy Policy, which can be consulted at https://website.food2go.pt/politica-de-privacidade/. Food2Go can provide a claim processor or insurance company with any necessary information (including the User's contact information) in case of complaint, litigation or conflict, particularly in the event of an accident, between the User and a Third Party Service Provider whose Third Party Services are provided through the Application and / or the Website, and if such information or data is necessary to resolve the complaint, litigation or conflict.

2. The services

The Services consist of a technological platform that allows users of the Application and / or the Website to organize and request Services from Third Parties, such as transport and / or logistics services, through Third Party Service Providers. Unless otherwise agreed with Food2Go through a separate written contract entered into with the User, the Services are made available for personal use only (as a Consumer or for professional purposes) User’s non-commercial. The User acknowledges that Food2Go does not provide Third Party Services, including transportation or logistics services, nor does it operate as a transport company, and that all said Third Party Services are provided by Third Party Service Providers who have no employment relationship with Food2Go.

License.

Upon the fulfillment of these Terms and Conditions by the User, Food2Go grants him a limited license, non-exclusive, non-sublicensable, revocable, inalienable that allows: (i) access and use of the Application and / or the Website on the User's personal device solely in connection with the User's use of the Services; e (ii) access and use of any content, related information or materials that may be made available through the Services, always for personal use only (as a Consumer or for professional purposes) User’s non-commercial. Any rights that are not expressly granted in these Terms and Conditions are reserved by Food2Go and Food2Go licensors.

Restrictions.

The User cannot: (i) remove any copyright notices, trademarks or other notices relating to industrial property rights of any part of the Services; (ii) reproduce, prepare derivative works based on the Services, to distribute, grant a license, rent, to sell, resell, transfer, publicly display or present, to transmit, spread, issue or otherwise exploit the Services, unless expressly authorized by Food2Go; (iii) decompile, reverse engineer or disassemble the Services, except as permitted by applicable law; (iv) insert links, or create mirrors or frames all or part of the Services; (v) cause or run any programs or scripts for the purpose of scraping, indexing, surveys or data exploitation of any part of the Services or overburden or unduly impair the operation and / or functionality of any aspect of the Services; or (we) attempt to access without authorization or impair any aspect of the Services or its related systems and networks.

Services provision.

The User acknowledges that part of the Services may be made available through Food2Go's various brands or ordering options relating to Third Party Services, including, without limiting, the transport order marks called “Food2Go“, and the logistical order brands currently called. The User also acknowledges that the Services may be made available through such brands or ordering options by or in connection with: (i) certain Food2Go subsidiaries or affiliates; or (ii) Third Party Service Providers, including drivers of transport network companies, private driver's license holders or authorization holders, similar administrative licenses or permissions, for transportation.

Third Party Services and Content.

The Services may be made available or accessed in connection with third party services and content (including advertising) that Food2Go doesn't control. The User acknowledges that different terms of use and privacy policies may apply to the use by the User of such third party services and content. Food2Go does not guarantee such services and content from third parties and, under no circumstances, Food2Go will be responsible for any products or services provided by those third parties. further, a Apple Inc., a Google, Inc., Microsoft Corporation or BlackBerry Limited and / or its applicable international subsidiaries and affiliates will be third party beneficiaries of these Terms and Conditions if you access the Services through applications developed for mobile devices using Apple iOS, Android, Microsoft Windows or BlackBerry, respectively. Neither these Terms and Conditions nor the use of the Services by the User imply the attribution of any rights to the User: (i) about the Services or in relation to these, except for the limited license granted above; or (ii) to use or refer in any way to corporate names, logos, product and service names, trademarks and service marks of Food2Go or Food2Go licensors.

3. Your Use of the Services

User Accounts.

To use most features of the Services, the User must register and maintain an Account. The User must have at least 18 years old, or the age corresponding to legal age in the legal system of the User (if it doesn't match 18 years) to be able to get an Account. Registering for an Account requires the provision of certain personal data to Food2Go, such as the name, Address, mobile phone number and age of User. If the possibility of making cash payments for the relevant Third Party Service or Service is not available, the User may be required to provide at least one valid payment method (credit card or payment partner accepted by Food2Go). The User agrees to keep the information contained in his Account correct, complete and updated. The User is responsible for the security and confidentiality of his Account username and password. Unless written authorization from Food2Go, the User can only have one Account.

User Requirements and Conduct.

The User cannot authorize third parties to use his Account. The User may not assign or otherwise transfer his Account to any other person or entity. The User agrees to comply with all applicable laws when using the Services, and you may only use the Services for legitimate purposes (for example, cannot transport illegal or dangerous goods). The User, when using the Services, will not cause disturbance, discomfort, disorder or material damage, nor participate in any other illegal conduct, either in relation to the Third Service Provider, want to any other party. In some circumstances, the User may be asked to present an identification document to access or use the Services, and the User accepts that he may be denied access to or use of the Services if he refuses to present an identification document.

Text messaging.

When creating an Account, and as set out in the Food2Go Privacy Policy which can be found at https://website.food2go.pt/politica-de-privacidade/, you agree that the Services may send you text messages (SMS) as part of the normal use of the Services by the User. The User can, any time, opt out of receiving text messages (SMS) from Food2Go, sending an email to info@food2go.pt, with the subject “Unsubscribe”. The User acknowledges that choosing not to receive text messages (SMS) may impair their use of the Services.

Promotional Codes.

Food2Go can, through your discretionary judgment, create promotional codes. The User accepts that the Promotional Codes: (i) must be used by the public and for the purposes for which they are intended, and legally; (ii) cannot be played, sold or transmitted in any way, or made available to the general public (published in a public forum or otherwise), unless expressly authorized by Food2Go; (iii) may be deactivated by Food2Go at any time for any reason without implying any liability to Food2Go; (iv) can only be used in accordance with the specific terms established by Food2Go for such Promotional Code; (v) cannot be exchanged for cash; e (we) may expire before their use by the User. Food2Go reserves the right to retain or deduct credits or other features or benefits obtained through the use of Promotional Codes by the User or any other user, if Food2Go determines or believes that the use or refund of the Promotional Code was made in error, fraudulently, illegal or in violation of the terms applicable to the Promotional Codes or these Terms and Conditions.

User-Provided Content.

Food2Go can, through your discretionary judgment, allow the User to occasionally submit, load, publish or otherwise make Food2Go User Content available via the Services. Any User Content provided by the User remains the property of that User. Network and device access.

The User is responsible for obtaining access to the data network necessary to use the Services. The tariffs and charges of the User's mobile network applicable to data and messages may apply if the User accesses or uses the Services from a device that works with wi-fi,and the User will be responsible for such fees and charges. The User is responsible for the acquisition and updating of hardware or compatible devices needed to access and use the Services and the Application and / or the Website and any updates thereto. Food2Go does not guarantee that the Services, or any part of them, will work in a given hardware or devices. Furthermore, the Services may suffer from malfunction or delays inherent in the use of the Internet and electronic communications.

4. payment

4.1 General provisions

The Services are provided by Food2Go to the User free of charge. Food2Go reserves the right to introduce a fee for the provision of Services. If Food2Go decides to provide for such a fee, inform the User of this fact and allow the User to maintain or end their access to the Services through the Application and / or the Website, depending on the User's decision.

The User understands that the use of the Services may result in Fees for the User due to the Third Party Services provided by Third Party Service Providers. When ordering Third Party Services through the use of the Services, the User is deemed to have agreed to pay the Fees for the Third Party Service requested, as communicated and described to the User in the Application and / or on the Website prior to the User's request.

The payment structure described in this Section 4 is intended to fully compensate the Third Party Service Provider for the Third Party Services provided.

4.2 Charges payment terms

Regarding the relationship between the User and Food2Go, the User acknowledges and accepts that they can be established, removed and / or revised Charges for all or any Third Party Services under the terms set forth herein, it being agreed that the applicable Charges are those that are in force at the time that the request by the User of Third Party Services is made definitively through the Application and / or the Website through the use of the Services.

Food2Go or a Food2Go affiliate may make it possible to pay Charges for Third Party Services that You have requested through the Application and / or the Website as a limited collection agent for the relevant Third Party Service Providers. Payment of Charges made in this way will be considered equivalent to payment made directly by the User to the Third Service Provider.

All Charges are due immediately and payment will be made possible by Food2Go, as the case may be, through the preferred payment method designated in your Account, and following such payment, Food2Go will send an email receipt to the User. If the primary means of payment for the User Account has expired, is invalid or otherwise cannot be used, the User accepts that Food2Go or its affiliate may, as a limited collection agent for the Third Service Provider, use a secondary payment method specified in the User Account, if available.

Charges will already include taxes, applicable fees and contributions, namely VAT when required by law. In Portugal, Charges will be in euros.

Charges paid by the User are final and non-refundable, unless otherwise provided in these Terms and Conditions or otherwise decided by the Third Party Service Provider.

The User retains the right to request Lower Charges from a Third Party Service Provider for the Third Party Services provided to him / her, upon receipt of such Third Party Services. Food2Go will respond correspondingly to any request from a Third Party Service Provider to modify the Charges for a given Third Party Service.

4.3 Rates

Rates applicable to Third Party Services provided by a Third Party Service Provider can be found on the Application and / or on the Website, as the case may be. These can be changed or updated from time to time. As part of the User's reservation request and depending on the Third Party Service and / or the location in question, the Application and / or the Website will inform the User of the Fees or give an estimate of the Fees that will be charged for the provision of Third Party Services.

Rates may take into account, by way of example and depending on the Third Party Service, the distance, the duration of Third Party Services, the area in which Third Party Services are provided, any price spikes and any changes agreed with the Third Party Service Provider. The User recognizes and accepts, in particular, that the Tariffs applicable when ordering in certain geographic areas can increase significantly at times of greater demand, within the limits legally applicable. The User is responsible for staying informed about the Rates in force at any time. Changes to the User's initial request and / or the execution of the relevant Third Party Service may imply a revision of the Fees.

4.4 Additional Charges

Additional Charges may apply to You in connection with Third Party Services, under the terms indicated in the Application and / or on the Website. The amount of each Additional Charge is indicated on the Application and / or on the Website, as the case may be, and is available at the time of validating the corresponding order. Additional Charges will be charged to the User using the payment method chosen by the User for his order.

Additional Charges may include, namely, tolls, surcharges or other amounts incurred by the Third Party Service Providers in relation to the provision of the relevant Third Party Service requested by the User, The following is:

If the User makes the Third Party Service Provider wait before the start or during the provision of the Third Party Services beyond the period of time indicated as free on the Application and / or on the Website, Food2Go may charge the User a waiting fee for the benefit of the Third Party Service Provider.

Cancellation.

Regarding the nature of Third Party Services, the User recognizes, as a consumer, that you have no right of cancellation in connection with the Third Party Services. Yet, as a commercial gesture, Food2Go may offer the User the possibility to cancel the Third Party Service requested, in which case Food2Go may charge the User a cancellation fee for the benefit of the Third Party Service Provider. The terms and amount of such cancellation fee are communicated to the User in the Application and / or on the Website, as the case may be, and will be available when validating the corresponding order.

Repair or cleaning.

The User will be responsible for the cost of repair due to damage or cleaning that is shown to be necessary for the Third Party Service Provider's vehicles and goods resulting from the use of Third Party Services through his Account that exceeds the necessary wear and tear resulting from normal use of them. Should a Third Party Service Provider report that need for repair or cleaning after the User has used the relevant Third Party Service provided by such Third Party Service Provider, and such request for repair or cleaning is reasonable after verification by Food2Go, Food2Go may charge the User a cleaning fee for the benefit of the Third Party Service Provider.

4.5 Promotional actions

Food2Go may periodically grant certain users promotional offers and discounts that may result in different amounts being charged for the same or similar Third Party Services obtained through the use of the Services, and the User accepts that such promotional offers and discounts, unless also made available to the User, will have no impact on your use of the Services, Third Party Services and / or Charges applied to you.

4.6 Gratification

Except, in applicable territories, regarding certain taxi transport services that may be ordered through the use of the Services, Food2Go does not affect any part of the payment made by the User to the Third Party Service Provider. Any statement by Food2Go (no Website, in the Food2Go App or advertising materials) in the sense that bonuses are “voluntary”, “not mandatory” and / or “included” in the payments that the User makes in relation to certain Third Party Services provided is not intended to suggest that Food2Go provides any additional amounts, in addition to those described above, to the Third Service Provider. The User understands and accepts that, although you can freely make an additional payment as a gratuity to any Third Party Service Provider that provides Third Party Services obtained through the Services, is in no way obliged to this. Bonuses are voluntary. An additional payment as a bonus is paid on the same terms as Charges. Bonuses are given outright and are non-refundable, unless otherwise specified in these Terms and Conditions. After receiving Third Party Services obtained through the Service, the User will have the opportunity to rate his experience and leave additional feedback about his Third Service Provider.

5. Exclusion of liability; Limits on Liability; Indemnity; Resolution.

The limits and exclusions of liability contained in paragraphs 5.1 e 5.2 below do not intend to impose any limit on the liability of Food2Go or to alter the rights of the User as a Consumer that cannot be excluded under the applicable law.

5.1 General responsibility of Food2Go

The User accepts that Food2Go is a technological platform and that Food2Go does not provide Third Party Services through the use of the Services. Consequently, Food2Go's liability is limited to accessibility, content, use and proper functioning of the Services.

Exclusion of liability for Food2Go.

Limits on Food2Go's liability.

Food2Go will not be responsible for indirect damages, accessories, special, or punitive or consequential, namely loss of profits, data loss, bodily harm or material damage related to or resulting from the Services, even though Food2Go has been informed of the possibility of such damages. Food2Go will not be responsible for any damages, liability or losses resulting (i) of the use by the User or dependence on the Services or the impossibility of accessing or using the Services; or (ii) any transaction or relationship between the User and any Third Party Service Provider, even though Food2Go has been informed of the possibility of such damages. Food2Go will not be responsible for any default or non-performance resulting from causes beyond Food2Go's reasonable control. The User acknowledges that third party transport service providers that provide the requested services may, to the extent permitted by applicable regulations, offer travel sharing transport services (ridesharing) or peer-to-peer, and may not be license holders or other professional permission. Food2Go's total liability to the User in connection with the Services for any damages, losses and causes to order will never exceed five hundred euros (€500).

5.2 Food2Go's Specific Responsibility for Transportation.

Without prejudice to any provision to the contrary in these Terms and Conditions, and under applicable law, Food2Go will not contest any decision that determines its objective and joint liability in Portugal together with the Third Private Transport Service Provider provided in Portugal to the User as a result of a previous reservation made through the Services. In this regard, the User specifically acknowledges that Food2Go does not provide any of the aforementioned transport services, but that its Services are solely those of operator of an electronic platform under the terms of applicable Portuguese law.

Yet, Food2Go will not be liable objectively and jointly (fully or partially) in case of non-provision or defective provision of the transport services in question when such non-provision or defective provision is attributable to the User, or when that non-performance or deficient performance is the result of an unpredictable and insurmountable cause attributable to a third party in relation to the provision of transport services, or in case of force majeure.

5.3 The User's responsibility towards Food2Go.

It is the User's responsibility to take all appropriate measures to protect their electronic equipment and data stored on their equipment from any damage caused by using the Internet..

The User will be responsible for any damages suffered by Food2Go as a result of the breach by the one of these Terms and Conditions, of your use of the Services, of Food2Go's use of User Content from that, and violation of the rights of any third party, including Third Party Service Providers.

The User agrees to indemnify and exonerate Food2Go and its staff, administrators, employees and agents in relation to any and all claims for compensation, claim, loss, responsibility and expense (including attorney fees) resulting or in connection with: (i) your use of the Third Party Services or Services obtained through your use of the Services; (ii) failure to comply with any of these Terms and Conditions; (iii) Food2Go's use of User Content from that; or (iv) the User's violation of the rights of any third party, including Third Party Service Providers.

5.4 Resolution

The User acknowledges that he is free at all times to use the Application or not, the Website and / or the Services. The User and Food2Go may resolve these Terms and Conditions or cancel any Services, if the other party violates the provisions of these Terms and Conditions. In particular, if Food2Go is unable to collect Charges due using the payment method specified by the User, Food2Go may suspend or remove all or part of the User's access to the Service until the amount in question has been paid.

6. Applicable Law; Arbitration.

6.1 Specific alternative dispute resolution mechanisms available to consumers in Portugal

According to applicable Portuguese law, conflicts of a contractual nature relating to the execution of a service provision contract by Food2Go that could not be decided in the context of a complaint previously submitted to the customer service of Food2Go or the competent public authorities, may be subjected to alternative conflict resolution mechanisms.

Should alternative dispute resolution mechanisms fail, apply to the procedure below.

6.2 Applicable law and conflict resolution

The provisions of this article do not revoke the mandatory provisions of Portuguese law applicable to Consumers, and these Terms and Conditions will be governed and interpreted in accordance with such mandatory rules, if applicable, and any conflict will be remitted and resolved definitively by the competent Portuguese courts.

In the event of a dispute, the consumer may resort to the Alternative Dispute Resolution Entity for consumption.:

7. Other provisions

Actions for Copyright Infringement.

Actions for copyright infringement must be sent to the representative appointed by Food2Go. The User should visit the Food2Go website at https://website.food2go.pt/politica-de-privacidade/ para o respetivo endereço e informações adicionais.

Notifications.

Food2Go can make notifications through general notification on the Services, e-mail sent to the user's e-mail address specified in his Account, or by written communication sent to the User address indicated in the Account of this. The User can notify Food2Go by written communication sent to Food2Go's address at Avenida Duarte Pacheco, N.º 26, 1º A, 8135-104, Almancil, Portugal.

General provisions.

The User may not assign or transmit these Terms and Conditions in whole or in part without the prior written consent of Food2Go. The User gives his consent to Food2Go to give or transmit these Terms and Conditions in whole or in part, including: (i) to a subsidiary or affiliate; (ii) to a buyer of capital, Food2Go business or assets; or (iii) to a successor due to merger. There is no joint venture, partnership, employment or agency relationship between the User, Food2Go and any Third Party Service Provider as a result of the contract between the User and Food2Go, or use of the Services.

If any provision in these Terms and Conditions is found to be illegal, invalid or unenforceable, fully or partially, under any law, such provision or part thereof shall be, to that extent, considered not to be part of these Terms and Conditions, but the legality, validity and enforceability of the other provisions of these Terms and Conditions will not be affected unless the illegal provision, invalid or unenforceable is essential and condition of acceptance by the User of these Terms and Conditions. In this case, the parties will replace the illegal provision, invalid or unenforceable or part of it by a provision or part that is legal, valid or chargeable, and that has, as much as possible, similar effect to the illegal provision, invalid or unenforceable or part of this, taking into account the contents and purposes of these Terms and Conditions. These Terms and Conditions fully embody the agreement and commitment between the parties regarding its object, and supersede and take precedence over any previous or contemporary agreements and commitments with respect to such object. In these Terms and Conditions, the words “including” e “namely” mean “including, by way of example”.
